These terms govern your use of BPOptima's API-driven business process automation platform. We've kept it clear: we build reliable automation, you use it responsibly, and we both benefit. By using our services, you agree to these terms.

Acceptance of Terms

By accessing or using BPOptima's services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our services.

You represent that you have the authority to bind your organization to these terms. If you are accepting on behalf of a company, you warrant that you have the necessary permissions.

Service Description

BPOptima provides the following services:

Free Evaluation Tools

  • Process Playground (process assessments)
  • Fortune Machine (exploratory tool)
  • Architecture brief generation

Production Services

  • API-driven business process outsourcing
  • Pilot programs and implementations
  • Enterprise automation solutions

User Responsibilities

When using BPOptima, you agree to:

  • Provide accurate and complete information in all submissions
  • Use services lawfully and not for fraudulent or malicious purposes
  • Not attempt to reverse-engineer, decompile, or extract our AI models or algorithms
  • Maintain confidentiality of any access credentials provided (for production services)
  • Comply with all applicable laws and regulations
  • Not interfere with or disrupt our services or servers
  • Not use our services to transmit harmful code or malware
  • Respect intellectual property rights of BPOptima and third parties

Intellectual Property Rights

Our Intellectual Property : The BPOptima platform, AI models, algorithms, brand assets, and all related technology remain the exclusive property of BP Optima Pte Ltd.

Your Intellectual Property : Your process descriptions, business data, and confidential information remain your property. You grant us a limited license to use this data solely to provide services.

Output & Deliverables : Architecture briefs, evaluations, and implementation deliverables are licensed to you under a non-exclusive, non-transferable license for your internal business use.

Free Services & Evaluations

  • Process Playground and Fortune Machine are provided free for evaluation purposes
  • No obligation to proceed with paid implementation services
  • We reserve the right to limit submissions to prevent abuse (e.g. rate limiting)
  • Evaluation results are estimates based on information provided, not guarantees
  • Free services provided "as-is" without warranty (see Section 10)

Paid Services & Payment Terms

For production services, pilot programs, and implementations:

Pricing Provided in separate Statements of Work (SOWs) or service agreements
Payment Terms Net 30 days for enterprise clients, or as specified in SOW
Currency All fees in Singapore Dollars (SGD) unless otherwise agreed
Late Payments Subject to 1.5% monthly interest
Refund Policy 90-day results guarantee as advertised; full terms in SOW

Data & Privacy

Data handling is governed by our Privacy Policy, which is incorporated into these terms by reference.

  • You grant us license to use your data to provide services and improve our platform
  • We may use anonymized, aggregated data for product development and benchmarking
  • We maintain strict confidentiality for sensitive business information
  • All data is encrypted at rest and in transit (AES-256 encryption)
  • You retain ownership of your data and can request deletion at any time

Service Availability & Support

Production APIs

  • Target uptime: 99.9%
  • Maintenance windows: 48-hour advance notice
  • Status page available to paid clients

Support

  • Email: support@bpoptima.com
  • Paid clients: 24-hour response SLA
  • Free services: Best-effort support

We are not liable for downtime caused by force majeure, third-party services, or scheduled maintenance.

Warranties & Disclaimers

Limited Warranty (Paid Services) We warrant that paid services will be provided professionally, competently, and in accordance with industry standards.

Disclaimers: Evaluations are estimates, not guarantees of specific outcomes. Free services (Fortune Machine, Playground) are provided "AS-IS" without warranty. We do not guarantee uninterrupted or error-free operation. We are not liable for indirect, consequential, or incidental damages.

Limitation of Liability

Paid Services

Fees Paid (Last 12 Mo.)

Liability capped at total fees paid in the preceding 12 months

Free Services

SGD 100

Maximum liability for free services is limited to SGD 100

These limitations do not apply to gross negligence, willful misconduct, or data breaches caused by our failure to implement reasonable security measures.

Force Majeure We are not liable for delays or failures due to events beyond our reasonable control (natural disasters, pandemics, war, government action, etc.).

Termination

Party Notice Period Conditions

By Us 30 days notice Or immediately for material breach

Upon termination: access to services is revoked, outstanding fees become due, and data is retained per our Privacy Policy. Sections on IP rights, confidentiality, limitation of liability, and dispute resolution survive termination.

Governing Law & Dispute Resolution

Governing Law : These terms are governed by the laws of Singapore.

Jurisdiction : Disputes are subject to the exclusive jurisdiction of Singapore courts.

Negotiation : Parties agree to attempt good faith negotiation for 30 days before litigation.

Arbitration : By mutual written agreement, disputes may be submitted to arbitration under SIAC rules.

Changes to These Terms

We may update these Terms of Service with 30 days advance notice. Material changes will be communicated via email to registered users, and the "Last Updated" date will be updated accordingly. For paid services, material changes require your acceptance. Continued use after the notice period constitutes acceptance.

General Provisions

  • Entire Agreement These terms constitute the entire agreement and supersede prior discussions
  • Severability If any provision is found invalid, the rest remain in effect
  • No Waiver Our failure to enforce any right does not waive that right
  • Assignment We may assign these terms; you need our written consent to assign
  • Headings Section headings are for convenience only and do not affect interpretation
